US Business Tax Service
U.S. Business Tax Services for American & International Companies
Delivered by Sesch USA LLC. Building or scaling a business in the United States? We provide end-to-end U.S. business tax support for American companies and for foreign owners (especially from Germany and Switzerland)—from entity setup and registrations to federal/state filings, sales & use tax, payroll, withholding, and representation before the IRS and state authorities.
Where a matter touches Germany or Switzerland, we involve our respective country teams (e.g., our Switzerland practice led by Sesch Taxrep GmbH and our dedicated Germany practice) so that cross-border issues are covered optimally and your data is supplied once, then reused across jurisdictions. Our approach follows the structure of our U.S. Business Tax Guide (with subpages) and is powered by our accounting workstream described here: U.S. GAAP Accounting Service. Fees are market-standard and quoted on request.
Table of Contents
1) Entity Setup & Launch
Tax-optimal entity choice (LLC, C-corp, S-corp, LP)
We help you choose and design the right U.S. structure—LLC (partnership or disregarded), C-corporation, S-corporation (where eligible), or limited partnership—considering investors, profit repatriation, U.S. state footprint, and potential exit. For non-U.S. owners we address ECI/FDAP exposure, treaty relief, branch-profits risk, and blocker structures where appropriate—consistent with our U.S. Business Tax Guide.
Federal & state registrations (EIN, state tax, SOS)
We handle EIN applications, Secretary-of-State filings, and state tax accounts (income/franchise, sales & use, employer withholding/unemployment). We map where registrations are needed based on economic/physical nexus and your hiring, inventory, and sales patterns.
Opening balance & accounting stack
We set up your chart of accounts, opening balance sheet, and monthly reporting flow. Our returns are powered by our U.S. GAAP Accounting Service so trial balances feed federal/state/sales-tax filings without rework.
2) Ongoing U.S. Compliance
Federal income tax returns (1120/1120-S/1065)
We prepare corporate and partnership returns (Forms 1120, 1120-S, 1065), including K-1 packages, depreciation, interest-limitation and NOL tracking, book-tax reconciliations, and elections (2553, 8832). For inbound structures we cover effectively-connected income, withholding coordination, and treaty disclosures.
State income/franchise & gross-receipts taxes
We manage multi-state compliance: nexus assessment, apportionment, combined/unitary reporting, franchise/gross-receipts regimes (e.g., TX, OH, WA), local business taxes, and estimated-tax planning.
Sales & use tax (economic nexus)
We register where thresholds are met, configure destination-based rates, file returns, and implement exemption/resale certificate workflows. We reconcile marketplace-facilitator collections and manage taxability reviews.
Payroll & employment taxes
We set up employer accounts, supervise payroll tax filings and year-end W-2/W-3, manage multi-state withholding for remote teams, and coordinate benefits/fringe considerations with your payroll provider.
Withholding & information reporting (1099/1042-S)
We implement W-9/W-8 onboarding, FATCA/Chapter 3 validation, backup withholding where required, and year-end Forms 1099 and 1042-S. For cross-border payments we align treaty claims and documentation to avoid penalties and double taxation.
3) Cross-Border for Non-U.S. Owners (DE/CH coordination)
Sesch USA LLC leads the U.S. workstream and—when your facts connect to Germany or Switzerland—coordinates with our Germany practice and with Sesch Taxrep GmbH (Switzerland). Together we cover ECI vs. FDAP, treaty positions, branch-profits tax, permanent-establishment risk, intercompany pricing, and repatriation planning. Your core data is captured once and shared securely between teams, keeping treatments consistent across U.S., German, and Swiss filings.
4) Representation before IRS & States
We act as your authorized representative with the IRS and state/local authorities—handling notices, audits, voluntary disclosures/registrations, payment plans, and ruling/letter-requests where helpful. For cross-border points, Sesch USA LLC coordinates with our DE/CH teams so responses and documentation align in all jurisdictions.
5) How we work (data once, used everywhere)
- Single source of truth: Monthly books and support schedules drive federal, state, and sales-tax returns; the same dataset supports DE/CH coordination.
- One compliance calendar: Federal/state estimates, annual returns, sales/use filings, payroll, and information reporting—plus any mirrored deadlines in Germany/Switzerland.
- Clear scope & pricing: Market-standard fees, quoted in advance; setup, monthly, and annual packages available.
- Knowledge base: See our U.S. Business Tax Guide for details; accounting backbone via U.S. GAAP Accounting Service.
